1. The Service

EzGYM is a management software offered as a service (SaaS) to manage clients, invoicing, payments, stock and more. It runs in the browser and offers a free plan and paid plans.

2. Registration and Account

You must be at least 18 years old or have legal capacity to contract.
The information you provide at registration must be accurate.
You are responsible for keeping your password secure.
One account per business. Sharing access or creating accounts on behalf of third parties without authorization is not permitted.

3. Subscription, collections and payment integrations

There are two separate payment flows: payments for your EzGYM subscription and the payments you collect from your own clients using the platform.

EzGYM plans may be billed periodically, monthly or annually, depending on the selected plan. Prices may vary by country, currency, promotion or current commercial conditions.
When you collect invoices, memberships, products or debts from your own clients through Mercado Pago or PayPal, the merchant account, credentials and relationship with the payment provider are yours. EzGYM acts as a technical integration and recordkeeping tool, not as the merchant of record or financial intermediary for those funds. Any fees are charged by Mercado Pago or PayPal themselves: EzGYM does not take any percentage of your payments.
Provider fees, withholdings, chargebacks, refunds, disputes, account blocks, settlement times and approvals depend on Mercado Pago, PayPal or the provider you use, and are the responsibility of that account holder.
If you configure an additional percentage to cover processing costs, you are responsible for informing your clients about that charge and complying with applicable law.
We do not issue refunds for already billed EzGYM subscription periods unless the error is ours or we expressly agree otherwise.

4. Acceptable Use

You may not use EzGYM to:

Enter false or fraudulent data.
Send spam or unsolicited communications.
Compromise your own or third-party computer systems.
Engage in any illegal activity or activity contrary to applicable law.

5. Data, communications, portability and compliance

The data you enter belongs to you. For your clients' data, we act as a technology provider and data processor, while you are responsible for the legal basis, accuracy and use of that information.

You must have sufficient authorization or legal basis to register personal data about your clients and send them messages by email, WhatsApp, SMS or any other available channel.
You are responsible for reviewing the accuracy of invoices, receipts, credit notes, debit notes, taxes, balances, payments and any other documents generated or recorded through the platform.
When you use tax, electronic invoicing or third-party reporting integrations, EzGYM provides technical tools but does not replace accounting, tax or legal advice.
You are also responsible for complying with the terms of Mercado Pago, PayPal, WhatsApp, tax providers and any other external service you connect to your account.
Data portability: you can export all your operational data (clients, products, categories, assigned plans, invoices) to Excel at any time from the app menu.
Backups: we run automatic backups twice a day. To recover data from a previous date, contact [email protected]. Restores are coordinated with you and may mean losing changes made after that backup.

6. AI assistant and bot

Answers from the AI assistant and bot are generated automatically and may contain errors. Check important information before relying on it. If you turn on the bot for your clients, you are responsible for what it tells them and can turn it off at any time.

7. Service Availability

We strive to keep EzGYM available 24/7, but we do not guarantee 100% uptime. Interruptions may occur due to maintenance, updates, or force majeure events beyond our control (including infrastructure failures, power outages, natural disasters, or other extraordinary circumstances). We will make our best effort to minimize them and notify you in advance when possible.

8. Intellectual Property

All code, design, and content of EzGYM are the property of Ignacio Vigna. Upon subscribing, we grant you a limited, non-exclusive, non-transferable license to access the service during the contracted period. You may not copy, redistribute, or create derivative works without express authorization.

9. Cancellation and Service Discontinuation

You may cancel your account at any time from settings. After cancellation you retain access until the end of the paid period. We reserve the right to suspend accounts that violate these terms. In the event that EzGYM permanently ceases operations, we commit to notifying you at least 90 days in advance by email. During that period you will have full access to the service to export your data. After that period, data will be deleted as described in the Privacy Policy.

10. Limitation of Liability

EzGYM is provided "as is". We are not liable for data loss, lost profits, or indirect damages arising from use of the service. Maximum liability in any case is limited to the amount paid in the last 3 months.

11. Governing Law

These terms are governed by the laws of the Oriental Republic of Uruguay. Any dispute shall be resolved before the competent courts of Montevideo, Uruguay.

12. Changes to the Terms

We may modify these terms at any time. For minor changes (clarifications, typo corrections, contact detail updates), email notification is sufficient and continued use implies acceptance. For substantial changes (pricing modifications, limitation of contracted features, changes to data handling or liability), we will notify you at least 30 days in advance. If you disagree, you may cancel your account before the effective date at no additional charge.
